Why the OCC’s Final Rule Is Critical

The Comptroller of the Currency stated publicly on August 19, 2026, that the OCC expects to publish its final stablecoin rule by November 2026. If that timeline holds, the 120-day clock starts in November and the effective date slides to approximately March 2027, after the January 18 statutory backstop. The January 18 backstop is no longer the latest possible date. It is the base case.

What Treasury’s NPRM Actually Proposes

Issuer Classification and Licensing

The NPRM establishes a new regulatory code under 12 CFR Part 1523. It defines who may legally issue, offer, sell, or make available payment stablecoins in the United States. The Act creates two qualifying categories: Permitted Payment Stablecoin Issuers (PPSIs) and Foreign Payment Stablecoin Issuers (FPSIs) that meet Section 18 requirements.

The $10 billion market cap threshold is a structural cut point. Issuers below $10 billion may operate under qualifying state regimes. Issuers above $10 billion must mandatorily transition to the federal OCC regime within 360 days of the effective date, or request a formal exemption. Both $USDT (at approximately $180 billion in global market cap) and $USDC (at approximately $72 billion) are above this threshold.

The NPRM asked 87 specific questions covering implementation, regulatory scope, foreign issuer treatment, and compliance mechanics. The volume of questions indicates that Treasury has made structural choices without settling all operational details. The comment period that closes today was designed to produce answers to those 87 open questions before the final rule is drafted.

Exchange Due Diligence: The Hardest Operational Requirement

Section 3(b)(2) of the $GENIUS Act prohibits offering, selling, or making a foreign-issued stablecoin available to US persons unless the issuer can and will comply with lawful orders. This provision takes effect January 18, 2027. The burden falls on digital asset service providers (DASPs), exchanges, platforms, on-ramps, not the issuer directly.

Treasury explicitly acknowledged in the NPRM that a DASP may lack full insight into a foreign issuer’s technological capability to freeze funds on a US lawful order and cannot know with certainty whether the issuer will comply in the future. Treasury declined to impose a strict interpretation that would effectively foreclose platforms from offering any FPSI-issued stablecoin entirely. Instead it proposed a due diligence standard where the platform must have a reasonable basis to believe the foreign issuer can comply.

The Freshfields analysis published September 25 described the gap between the January 18, 2027 date for Section 3(b)(2), the due diligence requirement on exchanges and the July 18, 2028 date for Section 3(b)(1), the full prohibition on selling non-qualifying foreign-issued stablecoins to US persons, as the principal area the comment period would focus on. That gap is now the regulator’s problem to resolve in final rules.

$USDT vs $USDC: Two Structural Positions

$USDC is issued by Circle, a US-domiciled company that already publishes monthly reserve attestations. Circle has filed an application with the OCC for a trust bank license under the federal PPSI pathway. $USDC’s existing reserve composition, consisting of short-duration US Treasuries and cash equivalents, matches the $GENIUS Act’s reserve requirements without structural modification.

$USDT is issued by Tether Limited, incorporated in El Salvador. Tether is a foreign issuer under the $GENIUS Act by definition. The Act bars foreign issuers from offering or selling stablecoins to US persons unless Treasury certifies that their home jurisdiction maintains comparable regulatory standards. As of October 19, 2026, no foreign jurisdiction, including El Salvador, has received a Treasury comparability determination.

Tether’s structural response to this constraint was the January 27, 2026 launch of $USAT (USA Tether), a separate stablecoin issued by Anchorage Digital Bank, N.A., the only federally chartered crypto bank in the US, and custodied by Cantor Fitzgerald. $USAT is Tether’s US-qualified instrument. $USDT’s pathway into the US market after January 18, 2027 is a pending OCC comparability determination for El Salvador, for which no timeline has been stated.

$USDT has until July 18, 2028 to fully comply under Section 3(b)(1). But the intermediate obligation, Section 3(b)(2), requiring exchanges to verify that Tether can respond to lawful US orders, takes effect January 18, 2027, 91 days from today. Platforms currently listing $USDT need a written compliance rationale for that listing by January 18, or face potential liability under the $GENIUS Act’s enforcement provision: up to $1 million per knowing violation and up to five years’ imprisonment.

The Rulebook Stack: What Has Been Filed and What Remains Open

The Treasury NPRM (RIN 1505-AC95) that closed today is one of four regulatory documents being produced in parallel. FinCEN and OFAC issued proposed AML and sanctions rules on April 8, 2026, with a comment period that closed June 9. Customer identification rules closed August 21. The Treasury NPRM on issuance, offer, and sale closes today. The OCC’s primary implementation rule, the single most consequential document for issuer licensing, targets a November 2026 final publication.

The OCC’s February 25, 2026 proposed rule (12 CFR Part 15) attracted 47 formal comments including Visa, JPMorgan, Coinbase, and three European central banks as informal observers by its May 1 close date. The final rule will establish the Federal Qualified Payment Stablecoin Issuer (FQPSI) designation, define capital requirements for federally supervised issuers, and set redemption and disclosure standards. Everything the $GENIUS Act required on reserves and auditing will become operational through this document.

The Fed’s proposed capital and redemption requirements for stablecoin issuers within its supervisory perimeter, bank holding companies and state member banks, have not yet been finalised. If the Fed’s rule publishes after the OCC’s November target, entities under Federal Reserve supervision will have less time to reach compliance than those under OCC or FDIC jurisdiction. That regulatory gap between supervised entities is the unresolved structural asymmetry in the current $GENIUS Act implementation.

What January 18, 2027 Actually Enforces

The January 18, 2027 backstop activates a tiered set of obligations. Section 3(b)(2), the DASP due diligence requirement for foreign-issued stablecoins, takes effect on this date. Platforms currently listing $USDT must have a documented basis to believe Tether can freeze funds on US lawful orders. A comparability determination from Treasury for El Salvador would resolve this. None exists and none has been scheduled.

Section 4(e)(3) of the $GENIUS Act separately prohibits marketing a product in the US as a payment stablecoin unless it is issued in compliance with the Act. The fine is up to $500,000 per knowing and wilful violation. Section 3’s issuer prohibition carries penalties of up to $1 million per violation and up to five years’ imprisonment.

The EU’s MiCA enforcement deadline for non-compliant stablecoin removal from exchanges runs on a parallel January 2027 schedule. Both regulatory regimes reach their hard enforcement dates within weeks of each other. The stablecoin issuers and platforms operating globally in January 2027 will face simultaneous US $GENIUS Act and EU MiCA compliance obligations for the first time.

Status as of October 19, 2026

1/ Comments close today on Treasury’s proposal defining who issues a payment stablecoin “in the United States”.

The OCC says its final $GENIUS rule is due “in the very near term”. The Act takes effect in 91 days either way.

— Hacken🇺🇦 (@hackenclub) October 19, 2026

The comment window closed today. The OCC final rule has not published. No comparability determination for any foreign jurisdiction exists. The $GENIUS Act’s January 18, 2027 effective date is 91 days away. The 120-day rule clock, which would add four months from whenever the OCC publishes, has not started. Every stablecoin issuer, platform, and exchange operating in the US market is currently complying with a law whose final operational rules do not yet exist.

For $USDT, the operational question is binary: either the OCC publishes a final rule before January 18, the 120-day clock starts, and the effective date slides to approximately March 2027, giving Tether additional time to pursue comparability, or the January 18 backstop activates with no comparability determination in place, and US platforms must decide independently whether they have a sufficient legal basis to continue listing $USDT from that date.

For $USDC and $USAT, January 18 is the compliance deadline they are structurally positioned to meet. Circle has filed its OCC application. $USAT operates under a federally chartered issuer already. The binding rulebook, when it arrives, confirms a competitive position they built in advance of today.
