Canada’s proposed 1% fee cap

Canada’s proposed stablecoin rules would give covered retail holders a way to ask an issuer for their money back without meeting a minimum redemption amount, potentially opening another exit alongside selling tokens through an exchange.

The proposal published Oct. 24 would normally require redemption within three business days and cap an issuer’s redemption fee at 1%. It would also let issuers limit daily redemptions when a liquidity shortfall in reserve-asset markets prevents them from meeting all requests.

Coverage would depend on Canadian purchaser-location criteria, the issuing entity and any applicable exclusions or exemptions. Circle’s treatment under the future framework remains a separate question from its current terms, which do not let every USDC holder redeem directly.

These are proposed operating terms. The Stablecoin Act, which received royal assent March 26, has core provisions marked not in force, and the government’s impact statement identifies fall 2027 as the intended implementation window.

The Act’s redemption duty would require payment at par, or face value, in the currency the stablecoin tracks. Proposed section 15 supplies the size, timing and fee conditions for that process.

A small balance would no longer be a permitted reason to reject an otherwise covered redemption request.

Reference currency also matters. For USDC holders, par redemption means U.S. dollars. A Canadian holder seeking Canadian dollars would still need a suitable currency-conversion or payment arrangement.

The 1% fee ceiling would be a maximum. Actual issuer fees and the holder’s banking route would determine the cost of direct redemption.

Issuers would have to give at least seven days’ website notice before starting or increasing redemption fees. Their redemption policies would also have to describe payment methods and the situations in which daily limits could apply. Those disclosures would help a holder evaluate the route before relying on it.

CryptoSlate’s May 9 coverage focused on Canada’s regulatory timing and institutional settlement pilots. The October proposal adds operating terms that holders and issuers could use to assess a future retail redemption process.

Circle illustrates the access gap

Circle’s USDC terms for holders outside the European Economic Area, updated Oct. 15, identify Circle Internet Financial, LLC as the issuer and make direct redemption conditional on a Circle Mint account in good standing. A holder without an eligible, registered account cannot simply send tokens to Circle and demand a bank payout under those terms.

The Mint product page makes the eligibility boundary explicit. Mint serves institutions and registered distributors in supported regions and excludes individuals using it for personal purposes. Applicants face background, identity, know-your-customer and sanctions checks.

An institution that qualifies then needs a banking connection. The Mint user agreement requires a linked, verified bank account held in the customer’s name, matching the verified Mint account.

Circle offers wire minting and redemption, while SEPA and banking-network transfers depend on participating banks in limited regions. Advertised instant settlement also depends on participating-bank programs.

For covered issuers, the proposal’s any-holder wording implies broader access to redemption service.

The scope of the Canadian framework matters before drawing a conclusion about USDC. The Act would reach domestic and foreign issuers that create a stablecoin and make it available for purchase, directly or indirectly, by a person in Canada, where the stablecoin has actual or reasonably expected interprovincial or international applications.

For the definition of outstanding stablecoins, proposed section 3 looks to the buyer’s usual residence, head office or principal place of business in Canada. Citizenship alone would not determine coverage.

The Act excludes central-bank issuers and makes its financial-institution and closed-loop exclusions subject to regulations. It also allows the Governor of the Bank of Canada to order exemptions, potentially with conditions, where provincial or foreign requirements are substantially similar.

Those provisions require attention to the issuing entity. Circle’s Mint page says Circle National Trust provides custody and does not issue USDC. The custodian’s bank charter alone therefore does not establish whether the named USDC issuer would fall outside Canada’s framework. A future Canadian registration or exemption decision would matter more than treating every Circle entity as interchangeable.

The payment clock and the reserve-market limit

The proposed text would require issuers to complete redemption within three business days. The accompanying impact statement says the window accommodates reserve-security settlement cycles and operational processing.

The proposal does not separately specify when a recipient’s external bank must make the proceeds available.

Circle’s agreement also addresses delays caused by an external bank or payment network, a separate issue from the issuer’s processing.

The proposed stress exception is narrower than a general permission to delay whenever markets become uncomfortable. Section 15(2) would permit daily limits when the issuer cannot meet all redemption requests because liquidity is short in the markets where its reserve assets trade.

That provision would override the ordinary any-value and timing requirements. It would leave the 1% fee ceiling intact. The inability to meet requests must arise from the specified reserve-market liquidity shortfall.

The reserve rules would support the redemption claim without eliminating that liquidity problem. Once in force, the Act would require reserves at least equal to outstanding par value, in the reference currency or qualifying liquid assets, separated from issuer and custodian creditor claims except for holders’ redemption claims.

The proposal permits demand deposits, short-term government debt, qualifying money-market funds and specified overnight reverse repurchase agreements. It also permits overnight repurchase agreements solely to obtain the reference currency needed for redemptions.

Reserve segregation would protect holder claims; it would not turn the token into an insured bank deposit. The Act would prohibit covered issuers from making that representation.

Implementation will decide how usable the route becomes

For a retail holder, the potential gain is an alternative claim on a covered issuer when selling to another market participant is unattractive. Circle’s terms expressly separate its conditional par-redemption commitment from prices quoted on third-party platforms, which it does not control.

Canada’s proposed route joins the wider redemption debate.

The consultation runs for 60 days from publication, with fall 2027 the intended commencement window. Under proposed transitional relief, preexisting issuers that apply within 30 days of commencement could continue issuing until registration or refusal notification; without an application, relief ends on day 31. This concerns registration and would not suspend redemption duties.

The final rules, decisions on individual issuing entities and published payment arrangements will determine whether the broader legal route becomes a usable second exit for covered holders, including when reserve-market liquidity is under pressure.
